Introduction
This Artificial Intelligence Terms of Use document (“AI Terms”) applies to all Products and Services offered by Cloudforce Group, Inc. (“Cloudforce,” “Company,” “we,” or “us”), including its flagship AI gateway platform, nebulaONE®, and governs the use of AI-powered features and functionality by our clients, their authorized end users, and Cloudforce employees and contractors. These AI Terms serve a dual purpose: (1) they describe how Cloudforce uses AI tools and capabilities internally in the delivery of our services; and (2) they establish the rules, rights, and responsibilities governing your organization’s use of AI features within nebulaONE® and any other Cloudforce AI-enabled Products and Services. These AI Terms are incorporated by reference into and supplement any applicable Platform License and Services Agreement (“Agreement”) between Cloudforce and you (“Client”). In the event of a conflict between these AI Terms and the Agreement, these AI Terms shall control with respect to AI-specific matters. By activating, accessing, or using any AI-powered feature within Cloudforce’s Products and Services, Client consents on behalf of itself and its authorized users to the practices described herein.
Definitions
“AI” or “Artificial Intelligence” means computer systems designed to perform tasks that traditionally require human intelligence, including but not limited to natural language processing, content generation, decision support, pattern recognition, and data analysis.
“Generative AI” means a class of AI that produces new content, including text, summaries, recommendations, or structured data, in response to user input or system-defined prompts. Examples include large language models (LLMs) such as those provided by Microsoft Azure OpenAI Service, Anthropic Claude, and similar enterprise-grade models.
“AI Features” means any AI or Generative AI-powered tools, agents, assistants, or automated capabilities made available through nebulaONE® or other Cloudforce Products and Services.
“Client Data” means all data, content, documents, and information submitted by Client or its Users to or processed through nebulaONE®.
“User” means any employee, contractor, student, administrator, or authorized representative of Client who is granted access to Cloudforce’s Products and Services.
“Azure Environment” means the Microsoft Azure subscription where cloud infrastructure is deployed and the Microsoft Enterprise tenant operated and controlled by the Client organization in which nebulaONE® is deployed and hosted.
Section 1: How Cloudforce Uses AI Internally and in Our Products
1.1 AI in Our Products
nebulaONE® is a secure, Microsoft-based AI gateway that enables organizations to deploy AI capabilities, including custom AI agents, document analysis, and content generation, within their own Azure environment. Cloudforce leverages enterprise-grade AI models, primarily through Microsoft Foundry and related Microsoft Cognitive Services, to power the AI Features available within nebulaONE®.
Cloudforce selects, configures, and maintains AI models and infrastructure with a focus on security, compliance, and data privacy. All AI processing within nebulaONE® occurs within the Client’s own Azure tenant, meaning Client Data remains under the Client’s direct cloud custody and control at all times.
1.2 AI in Cloudforce’s Internal Operations
Cloudforce employees and contractors may use AI tools internally to support service delivery, software development, client communications, and administrative functions. When doing so, all Cloudforce personnel are required to comply with this AI Terms and Cloudforce’s internal AI Acceptable Use Policy, which prohibits the input of Client Data, personally identifiable information (PII), or confidential business information into any public or non-enterprise AI tool (e.g., consumer versions of ChatGPT or similar services).

1.3 Third-Party AI Model Providers
AI Features within nebulaONE® are powered by large language models and related services provided by Microsoft and, where applicable, other enterprise AI providers. Cloudforce maintains contractual agreements with these providers that prohibit the use of Client Data to train, fine-tune, or improve their underlying AI models. Cloudforce conducts due diligence on all third-party AI providers prior to integration, including review of their security posture, data handling practices, and compliance certifications.
Section 2: Data Privacy and No-Training Commitment
2.1 Client Data Is Yours
Cloudforce does not claim ownership over any Client Data processed through nebulaONE® or any other Cloudforce Products and Services. Client retains full ownership and control of its data at all times.
2.2 No Training on Client Data
Cloudforce does not use Client Data, including inputs, outputs, uploaded documents, or conversation histories, to train, fine-tune, retrain, or otherwise improve any AI model, whether proprietary or third-party. This commitment extends to all AI Features across nebulaONE® and applies to both Cloudforce and, via contractual obligation, our AI model providers. Because nebulaONE® is deployed within the Client’s own Azure environment, Client Data never traverses Cloudforce-controlled infrastructure during AI processing unless the Client chooses to utilize a different search function. This architectural choice is intentional and foundational to our privacy-first design.
2.3 Data Collected by Cloudforce
The only data collected by Cloudforce in connection with nebulaONE® product operation is:
No personally identifiable information (PII) from end users is collected or processed by Cloudforce through the nebulaONE® product. All personal data processed within the platform remains entirely under the control of the Client organization.
2.4 Applicable Privacy Frameworks
Cloudforce’s data practices are designed to support Client compliance with applicable privacy regulations, including:
Clients operating in regulated industries are responsible for ensuring their own use of AI Features within nebulaONE® is consistent with applicable regulatory requirements.
Section 3: Compliance and Security
3.1 Cloudforce Compliance Certifications
Cloudforce maintains the following compliance certifications relevant to AI-powered services:

3.2 Security Architecture
nebulaONE® is architected to run entirely within the Client’s own Microsoft Azure environment. This means:
Cloudforce implements commercially reasonable administrative, technical, and physical safeguards in the development and maintenance of nebulaONE®, consistent with SOC 2 standards and Microsoft Secure Development Lifecycle (SDL) practices.
Section 4: Acceptable Use of AI Features

AI Features within nebulaONE® and Cloudforce’s services may be used for lawful, legitimate business purposes, including but not limited to:

Cloudforce Clients are responsible for ensuring that all Users comply with these AI Terms. Client shall communicate applicable acceptable use requirements to its Users and shall implement internal policies governing AI use consistent with these AI Terms. Cloudforce reserves the right to suspend or terminate access to AI Features for any Client or User found to be in violation of these AI Terms.
Section 5: Human Oversight and AI Limitations
5.1 AI Is a Tool, Not a Decision-Maker
Cloudforce’s AI Features are designed to augment human judgment, not replace it. AI outputs, including summaries, recommendations, generated content, and data analyses, should be treated as informational inputs to human decision-making, not as final, authoritative conclusions. Client and its Users are solely responsible for the decisions they make based on AI-generated outputs. Cloudforce is not liable for decisions made relying on AI output without appropriate human review.
5.2 Known Limitations of AI
Users should be aware of and account for the following inherent limitations of AI systems:
(a) Inaccuracy and Hallucination: AI models may generate responses that are factually incorrect, outdated, or fabricated (“hallucinations”), even when presented with apparent confidence. Outputs should always be independently verified when accuracy is material.
(b) Data Staleness: AI models are trained on data up to a fixed cutoff date. They may not reflect recent events, regulatory changes, or updated information. Users should not rely on AI outputs as a source of current legal, regulatory, or market information without independent verification.
(c) Bias: AI models are trained on large datasets that may reflect societal biases. Outputs may inadvertently reflect bias related to race, gender, geography, profession, or other characteristics. Users should critically evaluate outputs, particularly when used in contexts involving personnel decisions, customer interactions, or public-facing communications.
(d) Confidentiality Risks: Users should exercise caution about the type and sensitivity of information entered into AI systems. Even within a secure environment, Users should avoid inputting information that is not necessary to accomplish the task at hand.
(e) Legal and Regulatory Uncertainty: The legal landscape surrounding AI is rapidly evolving. Regulations governing AI-generated content, automated decision-making, and data use may impose obligations on Clients and Users that are not yet fully defined. Clients are responsible for monitoring applicable legal developments.
(f) Ethical Considerations: AI outputs may raise ethical concerns, including the potential for discriminatory outcomes or content that is inappropriate in context. Users should review all AI outputs before acting on or distributing them.
5.3 High-Stakes Use Cases
For use cases involving consequential decisions, including those related to employment, healthcare, legal matters, financial determinations, or regulatory compliance, Client should ensure that:
Section 6: Intellectual Property
6.1 Ownership of Outputs
As between Cloudforce and Client, Client retains rights to AI-generated outputs produced through Client’s use of nebulaONE®, subject to applicable law. Cloudforce does not claim ownership of content generated by Client or its Users through AI Features.
6.2 Client Responsibility for Output Use
The legal status of AI-generated content, including questions of copyright ownership, originality, and third-party rights, is an evolving area of law. Client is solely responsible for ensuring that its use and distribution of AI-generated content complies with applicable intellectual property laws and does not infringe the rights of third parties.
6.3 No Infringement Warranty
Cloudforce does not warrant that AI-generated outputs are free from third-party intellectual property claims. Client assumes all responsibility for reviewing AI outputs for potential infringement prior to use or publication.
Section 7: Cloudforce’s Right to Modify AI Features
Cloudforce reserves the right to modify, suspend, or discontinue any AI Feature at any time, with or without notice, including in response to changes in third-party model availability, compliance requirements, or security considerations.
Section 8: Updates to These AI Terms
Cloudforce may update these AI Terms from time to time to reflect changes in our products, applicable law, or industry standards. Cloudforce will notify Clients of material changes via email or in-product notification at least thirty (30) days prior to the effective date of such changes. Continued use of AI Features after the effective date of an updated AI Terms constitutes acceptance of the revised terms.

These AI Terms of Use are governed by the laws of the State of Maryland. Any disputes arising under these AI Terms shall be resolved in accordance with the dispute resolution provisions of the applicable Agreement between Cloudforce and Client.
